1. About MicDrop Community & GetAFanPage

MicDrop Community is a community-driven discovery platform designed to help people find local entertainment, businesses, venues, artists, bands, DJs, karaoke hosts, restaurants, creators, and community events.

GetAFanPage allows eligible users to create and manage customizable public FanPages, publish media and events, display menus and services, provide contact information, and connect with the MicDrop Community.

2. Eligibility

To create or manage an account, you must:

• Be at least 16 years old.
• Provide truthful and accurate information.
• Have the legal authority to enter into these Terms.
• Comply with applicable local, state, national, and international laws.

If you use the platform on behalf of a business, organization, venue, performer, or other entity, you represent that you have authority to act on its behalf and bind it to these Terms.

3. User Accounts

Certain platform features require a registered Community account. You agree to provide accurate information during registration and keep your account information current.

You are responsible for:

• Maintaining the confidentiality of your password
• Keeping your login credentials and devices secure
• Activity occurring through your account
• Promptly notifying us of unauthorized access

You may not sell, transfer, share, or assign your account without our written permission.

4. Community Directory

The MicDrop Community Directory helps users discover local people, places, businesses, entertainment, creators, and events.

Directory listings may be created using:

• Information submitted by owners, artists, creators, and venues
• Community recommendations
• Information entered by the MicDrop team
• Publicly available business or event information where permitted by law

MicDrop may edit, correct, organize, merge, hide, or remove listings to improve accuracy, safety, usability, or compliance with our policies.

A listing does not constitute an endorsement, partnership, sponsorship, recommendation, employment relationship, or guarantee by Charles Marshall Services LLC.

5. FanPages

GetAFanPage allows eligible users to create public FanPages that may include:

• Profile and business information
• Photos, logos, audio, video, and featured media
• Menus and services
• Events and announcements
• Social media and website links
• Contact and location information
• Call-to-action and sharing features
• Other approved public content

You are responsible for the accuracy, legality, quality, and appropriateness of information published through your FanPage.

You may only upload or publish content you own, created, licensed, or otherwise have permission or legal authority to use.

6. Community Events & RSVP Features

Registered Community members may be able to create and publish events without owning a FanPage. FanPage owners may also publish events through their FanPages.

Event creators are responsible for providing accurate information, including dates, times, locations, descriptions, admission details, and known age restrictions.

MicDrop may provide RSVP or “Going” features. An RSVP is an expression of interest or intent and does not guarantee admission, seating, availability, tickets, entry, or participation in an event.

Event creators and attendees remain responsible for arrangements made between themselves.

7. Community Recommendations & Listing Claims

Members may recommend eligible businesses, artists, venues, entertainers, creators, and events for inclusion in the Community.

Eligible businesses, creators, artists, venues, and entertainers may request ownership of listings through the Claim Listing process.

MicDrop may:

• Review, approve, or reject submissions
• Edit or correct submitted information
• Merge duplicate submissions
• Request reasonable ownership verification
• Remove listings when appropriate

Submitting a recommendation or claim does not guarantee publication or approval.

False ownership claims, impersonation, or fraudulent submissions may result in denial, suspension, termination, or removal.

8. User Content

You retain ownership of original content you create and upload to MicDrop Community or GetAFanPage.

User content may include:

• Community profile and FanPage content
• Business and directory information
• Photos, logos, audio, video, and Live content
• Menus and services
• Events and announcements
• Descriptions and biographies
• Community posts, recommendations, messages, and feedback

By submitting content, you grant Charles Marshall Services LLC a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, resize, format, optimize, transmit, and distribute that content as reasonably necessary to operate, maintain, promote, secure, and improve MicDrop Community and GetAFanPage.

This license ends when your content is deleted from our active systems, except where continued retention is reasonably necessary for backups, security, legal compliance, enforcement, or content previously shared or published by others.

You represent that your content does not violate another person's rights, applicable law, these Terms, or our Community Guidelines.

9. Acceptable Use

You agree to use MicDrop Community and GetAFanPage responsibly, lawfully, and respectfully.

You may not:

• Use the platform for illegal or fraudulent activity
• Attempt unauthorized access to accounts, databases, or systems
• Disrupt, overload, damage, or interfere with platform operation
• Upload viruses, malware, malicious scripts, or harmful code
• Collect personal information from users without permission
• Scrape or copy the platform using unauthorized automated tools
• Circumvent access controls, plan restrictions, or security measures
• Misrepresent your identity, authority, business, event, or affiliation
• Use the platform to deceive, defraud, threaten, stalk, or harass others
• Create duplicate accounts to repeatedly obtain introductory offers
• Send spam or unwanted mass communications
• Attempt to bypass platform moderation or family-friendly standards

10. Family-Friendly Content Standard

MicDrop Community and GetAFanPage are family-friendly platforms. Content presented or promoted through MicDrop must be appropriate for a general community audience.

This standard applies throughout the platform, including Community profiles, FanPages, directory listings, events, images, videos, audio, Live content, community posts, chat and messages, promotions, and external links.

Restaurants, bars, nightlife venues, and age-restricted events may be listed, but their public-facing MicDrop content must still comply with our family-friendly standards.

The following content is prohibited:

• Pornography, nudity, or sexually explicit material
• Sexually suggestive imagery or explicit sexual promotion
• Adult entertainment or sexual services
• Sexual solicitation
• Promotion of pornography or adult-content services
• Content that exploits, sexualizes, or endangers minors
• Graphic violence or gore
• Hate speech or discriminatory abuse
• Harassment, bullying, stalking, intimidation, or threats
• Illegal products, services, or activities
• Promotion of illegal drug use
• Malware, phishing, scams, or deceptive links
• Content intended to bypass platform safety standards

11. Live, Chat, Messages & Interactive Features

MicDrop may provide Live broadcasting, Community chat, bulletin-board features, FanPage messaging, personal messages, invitations, sharing, and other interactive features.

All such activity is subject to these Terms and our Community Guidelines. Live or temporary content is not exempt from platform rules because it may not remain permanently visible.

You may not use interactive features to harass, threaten, scam, spam, sexually solicit, distribute prohibited material, endanger minors, or engage in illegal activity.

MicDrop may restrict or disable interactive features when reasonably necessary for safety, security, moderation, or enforcement.

12. Following, Invitations & Sharing

MicDrop may allow users to follow FanPages or other eligible content, invite friends or contacts, and share FanPages, events, or other public content.

You are responsible for using invitation and sharing features appropriately and for contacting only people you are permitted to contact.

Following a FanPage or responding to an event does not create an employment, contractual, endorsement, agency, or other legal relationship between users or with MicDrop.

13. Content Moderation

MicDrop may review FanPages, Community profiles, directory listings, images, videos, audio, Live content, events, menus, posts, messages, recommendations, links, and other content submitted to or transmitted through the platform.

We may:

• Edit formatting or correct obvious listing errors
• Disable links or individual features
• Merge duplicate listings
• Hide or unpublish listings and FanPages
• Remove content
• Restrict feature or account access
• Suspend or terminate accounts

These actions may be taken when content or conduct violates these Terms, our Community Guidelines, applicable law, or creates risk for users, minors, third parties, or the platform.

MicDrop is not obligated to publish, retain, monitor, or distribute any particular submission.

14. Events, Businesses & Third-Party Transactions

MicDrop helps users discover businesses, creators, venues, entertainers, and events but does not own, organize, control, or guarantee third-party events or services unless explicitly stated.

Users are responsible for confirming event dates, times, locations, admission requirements, age restrictions, accessibility, availability, pricing, and other important details directly with the organizer or business.

MicDrop is not responsible for canceled events, changed schedules, venue conditions, third-party purchases, injuries, losses, or disputes between users and listed businesses, creators, venues, performers, or event organizers, to the extent permitted by applicable law.

15. Subscription Plans

GetAFanPage may offer Basic, Standard, PRO, and Elite plans.

Paid plans may be offered with monthly or yearly billing. Current prices, features, billing periods, and introductory offers are displayed before checkout.

Plan features, limits, pricing, and availability may change. Changes will not alter a charge already completed unless required by law.

16. Free Trials

Eligible paid subscriptions may include a 30-day free trial.

A payment method may be required to start a trial. Unless canceled before the displayed trial-ending date, the selected subscription will automatically continue into paid billing.

Trial eligibility may be limited. Users may not create additional accounts or use different information to repeatedly obtain free trials.

17. Payments, Renewals & Cancellations

Paid subscription transactions are processed through Stripe.

By starting a subscription, you authorize recurring monthly or yearly charges according to the plan selected during checkout.

Subscriptions renew automatically unless canceled before the next scheduled billing date.

Eligible subscribers can manage or cancel their subscription using Manage Subscription in the GetAFanPage dashboard.

Cancellation stops future automatic renewal. Access normally continues through the applicable trial or current paid billing period.

After subscription access ends, a FanPage returns to the Basic plan unless another eligible subscription, promotion, or access level applies, and paid features may become unavailable.

Payments, refunds, trials, cancellations, failed payments, and billing errors are further governed by our Refund & Cancellation Policy.

18. Promotional & Complimentary Access

MicDrop may provide complimentary, promotional, referral, founding-member, team-member, migrated, beta, or lifetime access.

These access types may include special eligibility requirements, benefits, or limitations that differ from regular paid subscriptions.

Promotional access has no cash value and may not be sold, transferred, or exchanged unless expressly authorized.

MicDrop may modify or discontinue promotional programs unless prohibited by law or a specific written agreement states otherwise.

19. Intellectual Property

The MicDrop Community and GetAFanPage names, logos, software, designs, graphics, text, source code, databases, and related platform materials remain the property of Charles Marshall Services LLC or their respective licensors.

These Terms do not transfer ownership of the platform or its intellectual property to users.

You may not copy, reproduce, resell, reverse engineer, or distribute platform materials except where expressly permitted by law or authorized in writing.

20. Copyright & Trademark Complaints

If you believe content on the platform infringes your copyright or trademark, contact:

support@micdropcommunity.com

Include enough information to identify the protected work, the allegedly infringing content, its location on the platform, your contact information, and the basis for your claim.

MicDrop may remove or restrict access to content while reviewing an intellectual-property complaint.

21. Third-Party Services

MicDrop may integrate with or link to third-party payment, mapping, social-media, video, music, audio, hosting, communications, or other service providers.

Third-party services are governed by their own terms and privacy practices. MicDrop is not responsible for their availability, content, accuracy, security, billing, or practices.

Content linked through third-party services must still comply with applicable MicDrop Community Guidelines.

22. Privacy

Our collection and use of personal information are described in the MicDrop Community Privacy Policy.

You agree not to publish another person's private or sensitive information without permission.

23. Disclaimer of Warranties

MicDrop Community and GetAFanPage are provided on an “AS IS” and “AS AVAILABLE” basis.

To the fullest extent permitted by law, Charles Marshall Services LLC disclaims express and implied warranties, including warranties concerning:

• Continuous or uninterrupted availability
• Error-free operation
• Accuracy of directory listings or user content
• Availability of third-party services
• Suitability for a particular purpose
• Results obtained from using the platform

Use of the platform is at your own risk.

24. Limitation of Liability

To the fullest extent permitted by applicable law, Charles Marshall Services LLC will not be liable for indirect, incidental, special, consequential, or punitive damages arising from:

• Use of or inability to use the platform
• User-generated content
• Directory listings and recommendations
• Third-party websites, events, products, or services
• Service interruptions or data loss
• Loss of profits, revenue, or business opportunities

To the fullest extent permitted by law, our total liability will not exceed the greater of the amount you paid to MicDrop during the 12 months immediately preceding the event giving rise to the claim or one hundred U.S. dollars ($100).

Some jurisdictions do not allow certain liability limitations, so some limitations may not apply to you.

25. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Charles Marshall Services LLC and its owners, employees, contractors, affiliates, and partners from claims, damages, losses, expenses, and reasonable legal fees arising from:

• Your use of the platform
• Your violation of these Terms
• Your submitted content
• Your violation of another person's rights
• Your violation of applicable law

26. Suspension & Termination

MicDrop may suspend, restrict, or terminate accounts when reasonably necessary to:

• Protect the platform or its users
• Protect minors or the public
• Investigate fraud, abuse, prohibited content, or security threats
• Enforce these Terms or the Community Guidelines
• Comply with legal obligations

Serious violations may result in immediate suspension or termination without advance notice.

Account termination does not automatically entitle the user to a refund.

27. Service Changes & Availability

MicDrop may add, remove, modify, suspend, or discontinue platform features, plans, or services.

We may perform maintenance or updates that temporarily affect availability. We do not guarantee that every feature will always remain available.

28. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules.

Legal disputes arising from these Terms must be brought in a court of competent jurisdiction located in Florida unless applicable law requires otherwise.

29. Severability & Waiver

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect.

Our failure to enforce a provision does not waive our right to enforce it later.

30. Entire Agreement

These Terms, the Privacy Policy, Community Guidelines, Refund & Cancellation Policy, and any additional terms displayed for a specific feature or offer constitute the agreement between you and Charles Marshall Services LLC concerning the platform.

31. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on this page with a revised effective or last-updated date.

Continued use of the platform after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.
